Developer & Plugin Terms

These Developer & Plugin Terms of Service ("Developer Terms") govern your access to and use of OSQR's developer program, plugin marketplace, and any associated APIs or development tools. These Developer Terms supplement and incorporate by reference the main OSQR Terms of Service. In the event of a conflict between these Developer Terms and the main Terms of Service, these Developer Terms control with respect to developer and plugin activities.

01Agreement & Scope

By enrolling in the OSQR Developer Program, submitting a Developer Application, or accessing any OSQR developer tools or APIs, you ("Developer") agree to these Developer Terms on behalf of yourself or the organization you represent. These Developer Terms:

  • Apply to any individual or entity that creates, publishes, distributes, or maintains plugins, integrations, extensions, or applications through the OSQR Platform
  • Supersede any prior developer agreements or terms you may have entered with OSQR for developer or plugin activities
  • Remain in effect for the duration of your participation in the Developer Program unless earlier terminated in accordance with Section 15
  • Are binding on your employees, contractors, and agents who access OSQR's developer resources on your behalf

If you do not agree to these Developer Terms, you may not participate in the OSQR Developer Program or submit applications to the Marketplace.

02Definitions

The following definitions apply throughout these Developer Terms:

  • Developer Application — any plugin, integration, extension, workflow, or application you create, submit, or distribute through or in connection with the OSQR Platform, including any updates or modifications thereto.
  • Developer Content — all descriptions, documentation, marketing materials, screenshots, logos, and other content you submit in connection with your Developer Application.
  • Developer Marks — your trademarks, service marks, trade names, and logos used in connection with your Developer Application.
  • OSQR Platform — OSQR's AI operating system, services, APIs, SDKs, marketplace infrastructure, and associated development tools, as made available from time to time.
  • User Data — any data, information, or content belonging to or generated by OSQR users that may be accessed, processed, or handled by your Developer Application in connection with user-authorized actions.
  • Marketplace — OSQR's plugin marketplace through which Developer Applications are listed, distributed, and made available to OSQR users.
  • OSQR Marks — OSQR's trademarks, service marks, trade names, logos, and branding assets.

03Enrollment & Developer Accounts

To participate in the OSQR Developer Program, you must create and maintain a developer account. By doing so, you agree to:

  • Provide accurate, complete, and current information during enrollment and keep that information updated at all times
  • Accept responsibility for all activities conducted under your developer account, whether authorized by you or not
  • Keep payment and billing information accurate and current if applicable
  • Maintain the confidentiality of your API keys, credentials, and account access
  • Notify OSQR immediately of any unauthorized use of your developer account or credentials

OSQR reserves the right to verify your identity, business information, and qualifications at any time. We may refuse enrollment or revoke developer account access at our sole discretion.

04Intellectual Property & Licensing

Your Ownership

You retain all intellectual property rights in and to your Developer Application and Developer Content. Nothing in these Developer Terms transfers ownership of your work to OSQR.

License to OSQR

By submitting a Developer Application to the Marketplace, you grant OSQR a non-exclusive, worldwide, royalty-free license to host, display, promote, distribute, reproduce, and make available your Developer Application and Developer Content on the Marketplace and in OSQR marketing materials for the purpose of operating and promoting the Marketplace.

OSQR's Rights

OSQR retains all rights, title, and interest in and to the OSQR Platform, APIs, OSQR Marks, and all OSQR intellectual property. No rights to OSQR's intellectual property are granted to you except as expressly stated in these Developer Terms.

Warranties of Ownership

You represent and warrant that you own or hold all necessary rights, licenses, and permissions to your Developer Application and Developer Content, and that your Developer Application does not infringe any third-party intellectual property rights.

Feedback

If you provide OSQR with any feedback, suggestions, or ideas regarding the OSQR Platform or Developer Program, you grant OSQR a perpetual, irrevocable, worldwide, royalty-free license to use, incorporate, and commercialize such feedback without obligation or compensation to you.

05Submission & Review Process

All Developer Applications must pass OSQR's review process before being listed on the Marketplace. The review process includes:

  • Security review — assessment of potential security risks, data handling practices, and compliance with security standards
  • Technical review — evaluation of functionality, performance, and compatibility with the OSQR Platform
  • Content & marketing review — assessment of descriptions, screenshots, and promotional materials for accuracy and appropriateness
  • Legal compliance check — verification that the application complies with applicable laws and OSQR policies

OSQR may approve, reject, or request changes to your Developer Application at its sole discretion. Approval does not guarantee continued listing, and OSQR may re-review your application at any time. You must notify OSQR promptly of any material changes to your Developer Application following approval, and material changes may trigger a new review.

No Guaranteed Listing

Submission of a Developer Application does not guarantee listing on the Marketplace. OSQR reserves the right to decline any application or remove any listed application at any time without liability, including applications that were previously approved.

06Developer Responsibilities

As a Developer, you are solely responsible for your Developer Application and its users. Your responsibilities include:

  • Providing all user support for your Developer Application — OSQR does not provide end-user support on your behalf
  • Maintaining the accuracy of your Marketplace listing and ensuring your application functions as described at all times
  • Promptly investigating and remedying any security incidents affecting your Developer Application, and notifying OSQR within 48 hours of discovery
  • Maintaining regular backups of your Developer Application and Developer Content
  • Complying with all applicable local, state, national, and international laws and regulations
  • Accepting full responsibility for all liabilities, claims, damages, and losses arising from your Developer Application, its use by others, and your conduct as a Developer

07Prohibited Uses

You may not create, submit, or distribute Developer Applications that:

  • ×Are illegal, fraudulent, harmful, deceptive, or in violation of any applicable law or regulation
  • ×Contain or distribute malware, viruses, spyware, or any malicious code
  • ×Scrape, data mine, or harvest User Data beyond what is strictly necessary and user-authorized for your stated functionality
  • ×Impersonate OSQR, mislead users about your application's affiliation with OSQR, or use OSQR Marks without authorization
  • ×Reverse engineer, decompile, disassemble, or attempt to derive the source code of the OSQR Platform or APIs
  • ×Perform competitive benchmarking, reverse-engineer OSQR's business logic, or gather competitive intelligence about OSQR through access to the Platform
  • ×Wholesale collect, archive, or store OSQR Platform data for purposes outside of your application's stated functionality
  • ×Violate any user's privacy rights, data rights, or consumer protection rights
  • ×Interfere with, degrade, or disrupt the OSQR Platform or other users' access to it

Enforcement

Violations of these prohibited use provisions may result in immediate removal of your Developer Application from the Marketplace, suspension or termination of your developer account, and potential legal action. OSQR cooperates fully with law enforcement and regulatory authorities investigating violations.

08Use of User Data

If your Developer Application accesses or processes User Data, you agree to the following obligations:

  • Access only the minimum User Data necessary for your application's stated and approved functionality — no over-collection
  • Obtain and maintain all required user consent before accessing, processing, or retaining User Data
  • Provide users with clear, plain-language privacy disclosures explaining what data you collect and how you use it
  • Never sell, rent, trade, or otherwise transfer User Data to any third party
  • Process User Data only in the manner and for the purposes that users consented to — no secondary use without fresh consent
  • If using sub-processors, bind them contractually to data protection obligations at least as protective as these Developer Terms
  • Implement and maintain reasonable technical and organizational security measures to protect User Data
  • Promptly cease access to and delete User Data upon user request or upon removal of your application from the Marketplace

Audit Rights

OSQR reserves the right to audit your data handling practices at any time, with or without prior notice. You agree to cooperate fully with any such audit and to provide OSQR with access to relevant records, personnel, and systems. Each party bears its own costs for audits unless the audit reveals a material violation, in which case you bear all reasonable audit costs.

09OSQR Branding Guidelines

Subject to these Developer Terms, OSQR grants you a limited, non-exclusive, non-transferable, revocable license to use the OSQR Marks solely to indicate that your Developer Application is compatible with or built for the OSQR Platform. You agree to the following:

  • You may only use OSQR Marks as expressly authorized in OSQR's published brand guidelines
  • You may not use OSQR Marks as part of your company name, product name, domain name, logo, or primary branding in a way that implies OSQR ownership or endorsement of your company
  • You may not register any trademark, domain, or business name that incorporates OSQR Marks or confusingly similar terms
  • OSQR retains all rights, title, and interest in the OSQR Marks, and your use generates no trademark rights in your favor
  • You must implement any branding changes OSQR requests within a reasonable time after notification

This branding license terminates automatically upon the termination of these Developer Terms or the removal of your Developer Application from the Marketplace.

10Fees & Revenue

  • Listing your Developer Application on the Marketplace may be subject to listing fees as specified in OSQR's current fee schedule
  • If your Developer Application generates revenue through the Marketplace, OSQR may charge a commission or revenue share as detailed in your developer agreement or the current fee schedule
  • You are solely responsible for determining and remitting all applicable taxes, including sales tax, VAT, GST, and withholding taxes, arising from your Developer Application revenue
  • OSQR reserves the right to modify its fee structure at any time with reasonable advance notice — typically 30 days
  • All billing and payments are processed through Stripe in accordance with Stripe's terms of service

Payment disputes: Any disputes regarding fees or revenue share must be submitted in writing to developers@osqr.app within 60 days of the relevant billing period. Disputes submitted after this period will be considered waived.

11AI & Responsible Use

The OSQR Platform is built on AI. Developers integrating AI or large language model (LLM) capabilities into their Developer Applications must adhere to the following responsible AI principles:

  • Clearly disclose to users when AI is involved in processing their requests or generating outputs within your application
  • Do not use AI capabilities to generate deceptive, harmful, misleading, or harmful content of any kind
  • Do not use AI to automate deceptive practices, impersonate real individuals, or manipulate users
  • Where applicable, comply with NIST AI Risk Management Framework standards and similar guidelines for AI safety and accountability

Constitutional AI Review

Developer Applications that incorporate AI capabilities may be subject to additional review by OSQR for safety and alignment with Constitutional AI principles. OSQR may require modifications to AI-powered plugins that do not meet our safety standards before or after listing. Repeated safety violations will result in removal from the Marketplace.

12Compliance & Global Trade

You agree to comply with all applicable laws and regulations in connection with your Developer Application and your use of the OSQR Platform, including:

  • Data protection laws — including GDPR (EU/UK), CCPA (California), and any other applicable privacy regulations in jurisdictions where your users are located
  • Anti-bribery and anti-corruption — including the U.S. Foreign Corrupt Practices Act and the UK Bribery Act
  • Sanctions and export controls — your Developer Application may not be used by or distributed to individuals, entities, or countries subject to U.S. or applicable international sanctions, including Cuba, Iran, North Korea, Syria, and Russia (as currently sanctioned). You represent that neither you nor your organization is on any applicable sanctions list
  • Payment card security — if your Developer Application processes payment card data, you must maintain PCI DSS compliance and must never store full card numbers, CVVs, or PINs
  • Record keeping — maintain accurate records of your compliance activities, data processing, and security measures, and make them available to OSQR upon request

You must immediately notify OSQR if you become aware of any compliance failure that could affect your Developer Application or OSQR users.

13Audit Rights

  • OSQR reserves the right to audit your compliance with these Developer Terms at any time, including your data handling, security practices, and use of OSQR APIs and Marks
  • OSQR may access, test, and evaluate your Developer Application at any time, including through automated testing, without prior notice
  • You agree to cooperate fully with any audit request and to provide reasonable access to relevant records, systems, and personnel within a reasonable time
  • Each party bears its own costs for routine audits; you bear all audit costs if the audit reveals a material violation of these Developer Terms

14Marketplace Removal & Delisting

OSQR's Right to Remove

OSQR may remove, delist, or suspend any Developer Application from the Marketplace at any time at its sole discretion, including for violations of these Developer Terms, user complaints, security concerns, legal requirements, or for any other reason. OSQR will provide notice where practicable but is not required to do so.

Developer Withdrawal

You may withdraw your Developer Application from the Marketplace at any time by following OSQR's published withdrawal procedures. You remain responsible for honoring your commitments to existing users of your application following withdrawal.

Marketplace Discontinuation

If OSQR discontinues the Marketplace entirely, OSQR will use commercially reasonable efforts to provide developers with at least 30 days' advance notice.

15Termination

  • Either party may terminate these Developer Terms at any time with written notice to the other party
  • OSQR may suspend or terminate your developer account immediately and without notice for material violations of these Developer Terms, the main Terms of Service, or applicable law
  • Upon termination, you must immediately cease using all OSQR APIs, developer tools, and OSQR Marks
  • Upon termination, you must securely delete all User Data in your possession or control and certify such deletion to OSQR upon request

Survival

The following provisions survive termination of these Developer Terms: Section 04 (Intellectual Property), Section 08 (Use of User Data — deletion and certification obligations), Section 16 (Indemnification), Section 17 (Limitation of Liability), and any accrued payment obligations. The main OSQR Terms of Service continue to govern your use of OSQR as an end user.

16Indemnification

You agree to indemnify, defend, and hold harmless OSQR, its founder, officers, affiliates, agents, and service providers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your Developer Application, including its functionality, outputs, and effects on users
  • Any actual or alleged infringement of a third party's intellectual property rights by your Developer Application or Developer Content
  • Any data breach, unauthorized access, or misuse of User Data in connection with your Developer Application
  • Any harm to users resulting from your Developer Application
  • Your violation of these Developer Terms, the main Terms of Service, or any applicable law or regulation

17Limitation of Liability

THE OSQR PLATFORM AND DEVELOPER TOOLS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. OSQR DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

  • !OSQR is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the OSQR Platform or developer tools
  • !OSQR is not liable for any damages resulting from API changes, Marketplace policy changes, or the removal of your Developer Application from the Marketplace
  • !OSQR is not liable for lost profits, lost data, or business interruption arising from your participation in the Developer Program

To the maximum extent permitted by applicable law, OSQR's total aggregate liability to you under these Developer Terms shall not exceed the total fees you paid to OSQR in the twelve (12) months prior to the event giving rise to the claim.

Governing Law

These Developer Terms shall be governed by and construed in accordance with the laws of the State of Arizona, United States, without regard to its conflict of law provisions. Subject to the arbitration provisions in the main OSQR Terms of Service, any legal action or proceeding arising under these Developer Terms shall be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to the personal jurisdiction and venue of such courts.
